These Terms of Service (“Terms”) govern your access to and use of the Century Sync platform, websites, applications, and associated services (collectively, the “Service”) provided by Apiruck LLC, a Florida limited liability company (“Century Sync,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility and Scope

You may use the Service only if you are at least 18 years of age, legally capable of entering into a binding contract, and authorized to act on behalf of a building or community association or related organization.

2. Description of the Service

Century Sync is a web-based software solution designed to assist condominium and homeowners association board members, property managers, and residents in managing their communities. Features include document management, communications, compliance support, and administrative tools. The Service may include AI-powered tools and human-curated resources to streamline operations and help users better understand relevant requirements and obligations.

3. Not Legal Advice

3.1 No Attorney-Client Relationship

Century Sync is not a law firm, and no attorney-client relationship is created through your use of the Service.

3.2 Informational Only

Any information, documentation, compliance suggestions, AI-generated answers, or guidance provided by Century Sync, whether by humans, software, or AI tools, is for general informational purposes only and does not constitute legal advice.

3.3 Consult Your Counsel
You are solely responsible for verifying any information or recommendations provided through the Service. You should always consult with a licensed attorney or legal advisor familiar with your jurisdiction and circumstances before making any legal or compliance decisions.

3.4 No Liability for Legal Outcomes
We expressly disclaim any and all liability arising from your reliance on content, suggestions, or interactions within the Service, including those from AI Agents or human support. You agree not to interpret any such content as a substitute for legal counsel.

• You agree to use the Service only in compliance with all applicable laws and regulations.

• You may not use the Service to store or transmit unlawful, misleading, or infringing content.

• You may not resell, sublicense, or otherwise exploit the Service without our express written consent.

5. License and Restrictions

We grant you a limited, nonexclusive, nontransferable, revocable license to access and use the Service for your internal business or organizational use. You may not:

6. AI Tools and Beta Features

Certain features, including but not limited to AI-powered assistance, may be offered as experimental or beta features. These tools are provided “as is” and “as available” with no warranties of any kind. You acknowledge that:

• AI-generated content may be incorrect or incomplete

• You use AI features at your own risk

• Century Sync is not liable for any decisions or actions taken based on AI content

7. Data and Privacy

Use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection, use, and disclosure of data as described therein.

a. You act as the data controller of such information, and
b. Apiruck LLC (d/b/a Century Sync) acts as a data processor under applicable data privacy laws.

We process this data solely to provide the Service, in accordance with your instructions, and subject to the same confidentiality, security, and breach notification standards as outlined in our Privacy Policy. By using Century Sync, you grant us permission to use trusted subprocessors for data hosting, email delivery, and related services, provided they uphold equivalent protections.

You are responsible for ensuring that any data you upload was collected and is shared with appropriate consent or authority under applicable law.

8. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach.

9. Modifications to the Service

We may update, suspend, or discontinue the Service or any feature at any time, without notice. We may also modify these Terms. If we do, we will notify you by updating the “Effective Date” above or via other communication. Continued use of the Service after changes means you accept the revised Terms.

10. Termination

We may suspend or terminate your access at any time for violation of these Terms or for any reason, with or without notice. Upon termination, your right to use the Service will immediately cease.

11. Disclaimers

The Service is provided “as is” and “as available.” We make no warranties or guarantees, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non infringement. We do not warrant that the Service will be uninterrupted or error-free.

12. Limitation of Liability

To the fullest extent permitted by law, Apiruck LLC and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to your use or inability to use the Service, even if we have been advised of the possibility of such damages.

In no event shall our total liability exceed the amount paid by you, if any, for access to the Service in the 12 months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Apiruck LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with:

• Your use of the Service

• Your breach of these Terms

• Any content submitted by you

• Your violation of any law or third-party rights

14. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. You agree that any dispute arising out of these Terms or the use of the Service shall be resolved exclusively in state or federal courts located in Palm Beach County, Florida.

15. General

These Terms constitute the entire agreement between you and us regarding the Service.If any provision is found unenforceable, the remainder shall remain in effect. No waiver of any term shall be deemed a further or continuing waiver.
